Board of Education Special Meeting Minutes

May 14, 2012

The special scheduled meeting of the River Falls Board of Education was called to order on Monday, May 14, 2012, at 8:42 p.m. by President Stacy Johnson Myers in the River Falls High School Media Center, 818 Cemetery Road. It was ascertained that notice of the meeting had been properly posted at the appointed locations, published in The River Falls Journal and announcements sent to WEVR Radio Station, St. Paul Pioneer Press, and the Eau Claire Leader Telegram.

PRESENT

President Stacy Johnson Myers, Vice President Dennis Behnke, Treasurer Manville Kenney, Clerk Barbara Kolpin, and members Rich Gerczak, and Alan Tuchtenhagen were present. Also present were Superintendent Tom Westerhaus, and School District Attorney Gwen Kuchevar. Board member Mike Miller was absent.

FINAL REVIEW AND APPROVAL OF CERTAIN DOCUMENTS REQUIRED TO IMPLEMENT THE TRANSACTIONS AUTHORIZED BY DISTRICT ELECTORS AT THE 09-19- 2011 ANNUAL MEETING TO PLACE A CONSERVATION EASEMENT ON THE SCHOOL FOREST AND COMPLETE THE LAND TRADE WITH LYLE AND ROBERTA JOHNSON (INCLUDING RESERVATION OF LIMITED FAMILY HUNTING RIGHTS), CONSOLIDATE THE SCHOOL FOREST’S LOCATION ON ONE SIDE OF THE KINNICKINNIC RIVER AND INCREASE THE FOREST AREA, AND TO ENACT THE RESOLUTION TO AUTHORIZE BOARD OFFICERS TO EXECUTE ALL RELATED DOCUMENTS AT CLOSING

The fundamental terms of the School Forest land trade with Lyle and Roberta Johnson were approved by District Electors and the Board last September. The resolutions passed at the Annual Meeting authorized the Board to complete the transaction and set the fundamental terms. Certain documents were presented for final Board review and approval. It was also necessary for the Board to authorize District officers to execute all necessary documents at the closing, scheduled for May 18, 2012. The documents presented for Board review and approval were:

1) Resolution to Authorize Board Officer Execution of Documents to Facilitate Encumbrance of School Forest Property by Conservation Easement, Land Trade with Lyle P. Johnson Jr. and Roberta A. Johnson and Long Term Hunting Agreement in Favor of the Johnson Family

2) Conservation Easement (final, encumbering the current School Forest property before land exchange)

3) Long Term Deer Hunting Agreement

Kenney moved for the approval of the Resolution to Authorize Board Officer Execution of Documents to Facilitate Encumbrance of School Forest Property by Conservation Easement, Land Trade with Lyle P. Johnson Jr. and Roberta A. Johnson and Long Term Hunting Agreement in Favor of the Johnson Family; seconded by Gerczak. The Resolution authorizes the Board President and Clerk to execute the conservation easement, long term hunting agreement and all other documents that have to be executed by the District to complete the previously authorized transactions at the closing, such as closing statements and title insurance-related documents. Motion carried unanimously (6-0) and the resolution was declared adopted. A copy of the resolution as adopted is attached hereto and incorporated herein by reference.

Kolpin moved for the approval of the Conservation Easement in favor of the Kinnickinnic River Land Trust and encumbering the full area of the School Forest before any portion is conveyed to Lyle and Roberta Johnson; seconded by Tuchtenhagen. Motion carried unanimously (6-0) and the Conservation Easement was declared adopted. A copy of the Conservation Agreement as adopted is attached hereto and incorporated herein by reference.

Behnke moved for the approval of the Long Term Deer Hunting Agreement between the School District of River Falls and Lyle P. Johnson and Roberta A. Johnson; seconded by Kolpin. Motion carried unanimously (6-0) and the Conservation Agreement was declared adopted. A copy of the Long Term Deer Hunting Agreement as adopted is attached hereto and incorporated herein by reference.

ADJOURNMENT

President Johnson Myers declared the meeting adjourned at 9:30 p.m.
